## Ownership records

**Cap table** — The structured record of stakeholders, instruments, issued positions, reserves, and ownership percentages for one company.

**Stakeholder** — A person or legal entity represented in the company’s ownership structure. A stakeholder is not automatically an Eqdeal user or company representative.

**Authorized shares** — The maximum shares represented for a class or company under the configured structure. Authorization does not mean the shares have been issued.

**Issued shares** — Shares that have passed through an issuance event and now form part of recorded ownership history.

**Reserve** — An economic position represented before or instead of issued shares, depending on the instrument and its state.

## Funding and value

**Pre-money valuation** — The company value immediately before the new financing represented by a round or applicable contract.

**Post-money valuation** — The value after including the financing amount under the applicable calculation assumptions.

**Dilution** — The reduction of an existing position’s ownership percentage when the ownership basis increases. The underlying number of existing shares does not necessarily change.

**Fully diluted** — A projected ownership basis that includes configured unissued or convertible positions according to the selected view and assumptions.

**Secondary transaction** — A transfer of an existing position between parties. It changes who owns the position but must not be treated as new company financing.

## Workflow terms

A draft can still be incomplete. A reviewed record has been checked but is not necessarily issued. Issuance creates recorded ownership history and can lock related workflows while processing. Simulation is a scenario and must not be presented as finalized ownership.

**Use the displayed basis**

Whenever you quote an ownership percentage, identify whether the view is issued, projected, or fully diluted and name the effective date. Percentages without a basis are easy to misinterpret.
