Terms and Conditions

Welcome to Tekorax, a platform that manages investment contracts for investors and capital tables and SOPs for startups (the "Platform"). These Terms and Conditions (the "Terms") govern your access to and use of the Platform and its service (collectively, the "Services"), operated and provided by Tekorax, a Brazilian limited company ("we", "us", or "our").

1. Introduction

By registering for an account, accessing, or using the Services, you confirm that you have read, understood, and agree to comply with these Terms. If you do not agree to these Terms, you should not access or use the Services.

2. Eligibility

To access and use the Services, you must be at least 18 years old and have the legal capacity to enter into legally binding contracts according to Brazilian law. By accessing or using the Services, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To access and use certain features of the Services, you will need to create an account with us. By registering for an account, you agree to provide accurate, complete, and up-to-date information about yourself and to promptly maintain and update this information as necessary.

You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Data Retention

We will collect, store, and process your personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the collection, storage, and processing of your personal data as described in the Privacy Policy and in accordance with Brazilian law.

We reserve the right to retain your data for as long as you maintain your account with us or as required by applicable Brazilian laws and regulations. If you wish to delete your account, you may request this by contacting our support team.

5. Intellectual Property Rights

We and our licensors own all rights, title, and interest in the Platform, the Services, and all associated materials, including but not limited to software, text, graphics, images, logos, and other content (collectively, the "Tekorax Content"). The Tekorax Content is protected by Brazilian copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Tekorax Content solely for your personal, non-commercial use and in accordance with these Terms. You may not reproduce, distribute, modify, publicly display, publicly perform, prepare derivative works, or use the Tekorax Content in any other way not expressly permitted in these Terms without our prior written consent.

6. Use Restrictions

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations, including, without limitation, intellectual property, privacy, and data protection laws. You shall not:

  • use the Services for unlawful, fraudulent, or malicious purposes;
  • violate or infringe the rights of third parties, including intellectual property, privacy, or publicity rights;
  • interfere with or disrupt the operation of the Services, or attempt to gain unauthorized access to the systems, networks, or data related to the Services;
  • distribute viruses, malware, or other harmful programs through the Services;
  • decompile, reverse engineer, or attempt to extract the source code of the software used in the Services.

7. Limitation of Liability

To the fullest extent permitted by Brazilian law, in no event shall Tekorax, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, or goodwill, arising out of or related to your access or use, or inability to access or use, the Services.

The total liability of Tekorax, for all claims arising out of these Terms or related to your access or use of the Services, shall not exceed the amount of fees paid by you to Tekorax in the twelve months immediately preceding the date of the first claim.

8. Indemnification

You agree to indemnify and hold us harmless from claims, losses, liabilities, damages, costs, and expenses arising from your unlawful use of the Services, your breach of these Terms, or your violation of third-party rights, to the extent permitted by applicable law.

9. Applicable Law and Venue

These Terms shall be governed and construed in accordance with the laws of Brazil. You agree to submit to the exclusive jurisdiction of the Brazilian courts to resolve any dispute or claim arising out of these Terms or related to your access or use of the Services.

10. Changes to the Terms

We reserve the right to modify or update these Terms at any time and at our sole discretion. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Platform. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you should stop using the Services.
