Create a contract
Company cap table → Add contract → Choose transaction type
- Choose the round and the contract type supported by the legal instrument.
- Enter the contract date, currency, amount, and economic terms.
- Set valuation or conversion terms where applicable.
- Add investors and attach the supporting PDFs.
- Review the complete contract before any issuance or conversion.
Edit or delete
This restriction applies to the whole round, not only to the contract that was issued: once any contract in the round has issued shares, Eqdeal disables Add contract, Edit, and Delete for every contract in that round, including contracts that never issued anything themselves. To edit, delete, or add a contract again, first remove the round's issuance history through its erase-issuances action, or use the controlled correction path for an already-issued record.
Deleting the round's founding equity contract, or an option plan's offer contract, permanently deletes the entire round along with it. Eqdeal shows an explicit confirmation for this before you can proceed—read it before confirming.
Contracts outside a financing round
Use the UX path offered for the transaction type. Eqdeal may organize standalone activity in a system structure; do not manually create misleading rounds to imitate another legal event.
Verify the contract before leaving the workflow
Confirm that the investor rows reconcile to the contract total, the dates follow the executed instrument, and the uploaded file belongs to this contract. Review valuation, interest, premium, conversion, and repayment terms whenever they apply.
If a contract needs correction after issuance
Do not try to force an edit or deletion once the round is locked. Review the controlled correction path for an issued record, or use erase-issuances when the round's entire issuance history must be removed, before making further changes.
